Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Lemina Kelvett, a verified market intelligence platform for African private markets, operated by Lemina Kelvett Ltd ("Lemina," "we," "us"). By creating an account or otherwise using the platform, you agree to these Terms. If you don't agree, please don't use Lemina.

We're an early-stage company. These Terms are written for where we are today — a small, focused platform with a small, focused team — and we'll update them as the product and business grow.

What Lemina is

Lemina provides structured, sourced intelligence on African private companies — company profiles, verification tiers, and a Lemina Score reflecting how confidently a given data point has been sourced and verified.

Lemina is not investment advice. Nothing on the platform is a recommendation to buy, sell, or invest in any company, security, or instrument. We aggregate and verify information; we do not evaluate the merits of any investment, and we are not a broker, dealer, investment adviser, or licensed financial institution. Any investment decision you make is yours alone, and you should seek independent professional advice before making it.

Accounts

• You must provide accurate information when creating an account and keep it up to date.
• You're responsible for activity that happens under your account. Keep your login credentials confidential.
• Accounts are for the individual or organization that registered them — accounts on the Network and Enterprise plans may be shared among the seats included in that plan, but individual credentials should not be shared beyond that.
• Let us know immediately at onboarding@lemina.co if you suspect unauthorized use of your account.

Plans and payment

Lemina offers a free tier and paid plans (Solo, Network, Enterprise) with different feature sets and limits, described on our pricing page. Paid plans are currently arranged directly with our team rather than through self-serve checkout — pricing, terms, and billing cadence for a paid plan are confirmed with you individually before you're charged anything. As we grow, some or all of this may move to automated billing through a third-party payment processor, and we'll update these Terms and notify existing customers when that happens.

Free-tier features, including limits on the Verify feature (portfolio uploads and independent verification of new companies), are described on the pricing page and may be adjusted from time to time. We'll aim to give notice of any change that meaningfully reduces what's included in a plan you're already on.

Acceptable use

You agree not to:

• Scrape, bulk-export, or systematically extract Lemina's company database beyond what your plan explicitly permits
• Resell, sublicense, or redistribute Lemina's data or platform access to a third party
• Reverse-engineer, decompile, or attempt to extract the underlying methodology of the Lemina Score
• Use the platform to build a competing product
• Submit false, misleading, or fraudulent company information through Verify or any submission form
• Interfere with the platform's normal operation or attempt to circumvent any access or usage limits

Data you submit through Verify

When you upload your own portfolio or deal-flow data through Verify, we match it against Lemina's existing database — matched companies aren't re-researched, since they're already in Lemina. Genuinely new companies are researched and verified to the same standard as the rest of our database, but stay private to your account. We don't merge your submitted data into the shared, publicly-searched dataset automatically or without a deliberate review on our end — see our Privacy Policy for how we handle this data.

You're responsible for having the right to submit whatever data you upload. Don't upload data you don't have permission to share with us.

Intellectual property

The Lemina platform, including its design, the Lemina Score methodology, and the compiled and structured company database, is owned by Lemina Kelvett Ltd and protected by applicable intellectual property law. Your subscription gives you a license to access and use the platform for your own internal purposes — it doesn't transfer ownership of any of it to you.

Underlying facts about a company (its name, funding history, regulatory status, and so on) are generally public or independently verifiable information, not something we claim to own — what we own is the structure, verification work, and scoring we've built around it.

No warranty on data accuracy

We work to verify what's on Lemina, and every data point carries a Lemina Score and provenance information so you can judge how much to trust it — that's the whole point of the platform. But we can't guarantee that every data point is complete, current, or error-free, especially where verification is still in progress. The platform, including all company data, is provided "as is" without warranties of any kind, express or implied.

Limitation of liability

To the fullest extent permitted by law, Lemina Kelvett Ltd is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including any decision made in reliance on information found on Lemina. Our total liability for any claim arising from these Terms or your use of the platform is limited to the amount you paid us in the twelve months before the claim arose.

Termination

You may stop using Lemina and close your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, including the acceptable use section above. If we terminate your paid account for reasons other than a Terms violation, we'll refund any unused, prepaid portion of your current billing period.

Changes to these Terms

We may update these Terms as Lemina evolves. When we do, we'll update the date at the top of this page. If a change is material, we'll make a reasonable effort to notify active account holders directly. Continued use of Lemina after a change takes effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Lemina will be subject to the exclusive jurisdiction of the courts of Nigeria.
